Terms of Service

Welcome to MusicDesk. These Terms of Service ("Terms") govern your access to and use of the MusicDesk website at musicdesk.io, the MusicDesk application at app.musicdesk.io, and the related software services (collectively, the "Service"), operated by Taras Babyuk, doing business as MusicDesk, a sole proprietorship based in Toronto, Ontario, Canada ("MusicDesk," "we," "us," or "our").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to create an account and use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

By creating an account on behalf of a music school, business, or other organization (your "Organization"), you represent and warrant that you have the authority to bind that Organization to these Terms.

2. Accounts and Roles

Account Holder

The individual who signs up for MusicDesk on behalf of an Organization is the "Account Holder." The Account Holder is the contracting party with MusicDesk and is responsible for all activity under the Organization's account, including paying subscription fees and maintaining accurate account information.

Invited Users

The Account Holder may invite additional users (such as teachers or administrators) to access the Service on behalf of the Organization. These users are bound by these Terms, and the Account Holder is responsible for their activity within the Service.

Families and Students

The Service allows Organizations to record information about, and collect payments from, families and students (collectively, "Families"). Families are not direct users of MusicDesk and do not create accounts. The Organization is solely responsible for the lawful collection, accuracy, retention, and management of all Family information it enters into the Service, including obtaining any consents required by law from parents, guardians, or the students themselves.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us at support@musicdesk.io immediately if you suspect unauthorized use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

3. Free Trial

MusicDesk offers a 30-day free trial for new accounts. During the trial period, you will have access to the full features of the Service at no charge. No credit card is required to start a free trial.

At the end of the trial period, you must subscribe to a paid plan to continue using the Service. If you do not subscribe, your access to the Service will be paused until you do. Your data will be retained for a reasonable period during which you may subscribe and resume access.

4. Subscription and Payments

Paid subscriptions are billed monthly in advance, in U.S. Dollars (USD) for most Organizations and in Canadian Dollars (CAD) for Organizations based in Canada. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

  • Current pricing is available at musicdesk.io/pricing or within the Service
  • Payment processing is handled securely by Stripe; we do not store your full payment details
  • You are responsible for keeping your payment information up to date
  • You are responsible for any sales, use, value-added, goods-and-services, or similar taxes applicable to your subscription, except for taxes based on our net income

Failed Payments

If a subscription payment fails, we will notify you and provide a 7-day grace period to update your payment method. If payment is not updated within the grace period, your access to the Service may be suspended until payment is received.

Price Changes

We may change subscription prices from time to time. Any price increase will take effect no earlier than the start of your next billing period after we provide reasonable notice (at least 30 days, by email or in-Service notification).

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

  • You will continue to have access to the Service until the end of your current billing period
  • No further charges will be made after cancellation
  • Your access to the Service will be paused after the billing period ends until you resubscribe

We generally do not provide refunds for partial billing periods. If you believe you are entitled to a refund due to exceptional circumstances, please contact us at support@musicdesk.io.

6. Family Payments via Stripe Connect

Organizations may use MusicDesk to collect tuition and other fees from Families. These payments are processed through Stripe Connect.

Stripe is the Payment Processor

All Family payments are processed by Stripe, Inc. (or its regional affiliate) and are governed by the Stripe Connected Account Agreement and Stripe Services Agreement, in addition to these Terms. You must agree to and comply with those agreements to collect payments through MusicDesk.

MusicDesk Does Not Hold Funds

MusicDesk does not handle, hold, or have custody of Family payment funds. Funds collected from Families are paid by Stripe directly to the Organization's connected Stripe account, on the schedule Stripe determines.

Refunds, Disputes, and Chargebacks

The Organization is solely responsible for issuing refunds and handling disputes or chargebacks initiated by Families. MusicDesk is not a party to any agreement between an Organization and a Family and has no obligation to mediate, refund, or otherwise resolve such disputes.

Tax Collection

Where the Organization enables tax collection through the Service, the Organization remains solely responsible for determining its tax obligations, registering with the appropriate authorities, and remitting collected taxes. MusicDesk provides tools, not tax advice.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Use the Service for any purpose other than managing music education activities
  • Resell, sublicense, or redistribute the Service without our written consent
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service, except where expressly permitted by law
  • Interfere with or disrupt the integrity or performance of the Service
  • Send unsolicited communications, spam, or harassment through the Service
  • Collect or store personal information of third parties using the Service without the legal right to do so

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these terms.

8. Your Data

You retain ownership of all data you and your users enter into the Service, including information about your Organization, teachers, Families, and students ("Your Data"). MusicDesk does not claim ownership of Your Data.

By using the Service, you grant MusicDesk a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and back up Your Data solely as necessary to (a) provide the Service to you, (b) prevent or address service or technical problems, (c) comply with applicable law, and (d) improve and develop the Service in aggregated or de-identified form.

You represent and warrant that you have the legal right to provide Your Data to MusicDesk and that doing so does not violate any law or any third party's rights. For Family and student data, this includes obtaining any consent required under applicable law from parents, guardians, or the students themselves.

We will not sell Your Data. For details on how we handle personal information, please refer to our Privacy Policy.

You may request export or deletion of Your Data at any time by contacting us at support@musicdesk.io.

9. Intellectual Property

The Service, including its design, code, features, branding, logos, content, and documentation, is owned by MusicDesk or its licensors and is protected by Canadian and international intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand assets.

You may not copy, modify, distribute, sell, or create derivative works based on the Service, except as expressly permitted by these Terms or by applicable law.

If you provide feedback or suggestions about the Service, you grant MusicDesk a perpetual, irrevocable, royalty-free license to use that feedback without restriction.

10. Third-Party Services

The Service integrates with or contains links to third-party services, including without limitation Stripe (payment processing and Stripe Connect), Supabase (data hosting and authentication), Resend (transactional email), Vercel (application hosting), and Calendly (scheduling). Your use of these services is subject to their respective terms and privacy policies. MusicDesk is not responsible for the availability, accuracy, security, or practices of third-party services.

11. Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

MusicDesk is available globally in countries supported by our payment processor (Stripe). Availability in additional regions may be added in the future.

12. Beta Features

We may from time to time offer beta or early-access features. Beta features are provided "as is," may change or be discontinued at any time, and are not subject to the warranties or service commitments in these Terms.

13. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any data will be secure, not lost, or not altered.

14. Limitation of Liability

To the maximum extent permitted by applicable law, MusicDesk and its agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunity, arising out of or relating to your use of or inability to use the Service, whether based on contract, tort, or any other legal theory, even if MusicDesk has been advised of the possibility of such damages.

Our total cumulative liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to MusicDesk in the twelve (12) months preceding the event giving rise to the liability, or (b) one hundred Canadian dollars (CAD $100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, the above limitations apply to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless MusicDesk and its agents from any third-party claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of (a) your use or misuse of the Service, (b) Your Data, (c) your breach of these Terms, or (d) your violation of any law or third-party right.

16. Termination

You may terminate your account at any time by canceling your subscription and contacting support@musicdesk.io.

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, fail to pay subscription fees, or use the Service in a way that creates legal, security, or operational risk for MusicDesk. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete Your Data after a reasonable retention period, except where retention is required by law or for legitimate backup, security, or audit purposes
  • Sections that by their nature should survive termination (including sections 8, 9, 13, 14, 15, and 18) will survive

17. Modifications to the Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you (for example, by email to the Account Holder or by an in-Service notice) before the change takes effect.

Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The exclusive forum for any dispute arising out of or relating to these Terms or the Service shall be the courts located in Toronto, Ontario, Canada, and you consent to the personal jurisdiction of those courts.

19. Notices

We may give you notices through the Service, by email to the address on file for the Account Holder, or by posting on musicdesk.io. You may give us notices by emailing support@musicdesk.io.

20. Miscellaneous

  • Entire agreement. These Terms, together with any documents they incorporate by reference (including the Privacy Policy), constitute the entire agreement between you and MusicDesk regarding the Service.
  • No waiver. Our failure to enforce any right or provision will not be considered a waiver of that right or provision.
  • Severability. If any provision is found unenforceable, the remaining provisions will continue in full force.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a sale of all or substantially all of the MusicDesk business or assets, or a transfer of the business to a successor entity (including upon a future incorporation of the business).
  • Force majeure. Neither party will be liable for any failure or delay caused by events beyond reasonable control (including natural disasters, war, civil unrest, internet or utility outages, or acts of government).
